Companies (Incorporation) Second Amendment Rules, 2019
1) Shifting of Registered Office:
This is need of hour since there were queries raised by Regional Director on Advertisement in newspaper which is widest Circulation. Relief granted with the amendment wherein widest has been replaced with Wide.
There is huge difference between Wide and Widest. Lets see this with example;
Widest: I want to pay lowest price for Advertisement for the widest range of newspapers
Wide: This is called wide range of Newspapers
Rule 30(5)(a) says advertise in the Form No.INC.26 in the vernacular newspaper in the principal vernacular language in the district and in English language in an English newspaper with the widest circulation With wide Circulation in the State in which the registered office of the Company is situated. This amendment is in favor of Ease of doing business.
2) Incorporation of a Company:
Rule 38(2) - There will not be any ROC fees payable on eForm INC 32 (SPICE Form) for the Incorporation of a Company with Authorised capital of less than or equal to rupees ten lakhs Fifteen Lakhs w.e.f. 18/03/2019.
